1 Acceptance of Terms

By accessing or using the InfraMinds AI platform — including our web application, APIs, mobile interfaces, and any related services (collectively, the “Service”) — you agree to be bound by these Terms of Service. If you are entering into these Terms on behalf of a company, organization, or other legal entity, you represent that you have the authority to bind that entity to these Terms.

If you do not agree to all of the terms and conditions set forth herein, you must not access or use the Service in any manner. Your continued use of the Service following any modifications to these Terms constitutes your acceptance of the revised Terms. We encourage you to review this page periodically to stay informed of any updates.

These Terms, together with our Privacy Policy and any applicable order forms, statements of work, or service-level agreements executed between you and InfraMinds AI, constitute the entire agreement governing your use of the Service and supersede any prior agreements or communications.

2 Services Description

InfraMinds AI provides a cloud-based Software-as-a-Service (SaaS) Enterprise Resource Planning (ERP) platform purpose-built for the construction and real estate industry. The Service encompasses modules for project management, procurement, budgeting, scheduling, resource allocation, billing, document control, workforce management, and advanced analytics powered by artificial intelligence.

We reserve the right to modify, enhance, or discontinue any feature or module of the Service at our sole discretion, provided that we will use commercially reasonable efforts to notify you of material changes that may affect your use of the platform. New features, tools, or modules added to the Service shall also be subject to these Terms.

While we strive to maintain high availability and data accuracy, the Service is provided on an “as available” basis. You acknowledge that the construction industry involves real-world variables beyond our control, and InfraMinds AI disclaims any liability arising from decisions made based on platform-generated insights, forecasts, or recommendations.

3 User Accounts and Security

To access the Service, you must create an account by providing accurate, current, and complete registration information. You are solely responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to notify us immediately at support@inframinds.ai of any unauthorized use of your account or any other breach of security.

Account administrators within your organization are responsible for managing user roles, permissions, and access levels. InfraMinds AI shall not be liable for any loss or damage arising from your failure to comply with these security obligations, including loss resulting from unauthorized access caused by compromised credentials on your end.

We reserve the right to suspend or terminate accounts that provide false or misleading information, that have been inactive for an extended period under the terms of your subscription agreement, or that are reasonably suspected of engaging in fraudulent or abusive activity on the platform.

4 Subscription Plans and Billing

Access to the Service is offered through tiered subscription plans, the details of which are published on our Pricing page. All fees are denominated and payable in Indian Rupees (INR). Applicable taxes, including Goods and Services Tax (GST), will be added to your invoice in accordance with prevailing Indian tax regulations at the time of billing.

Subscriptions are billed on the cadence selected at checkout — monthly or annually. Annual subscriptions may qualify for discounted rates. All plans are set to auto-renew by default at the end of each billing cycle, using the payment method on file. You may cancel auto-renewal at any time from your account settings, and such cancellation will take effect at the end of your current billing period. No refunds or credits will be issued for partial subscription periods.

InfraMinds AI reserves the right to revise subscription pricing with at least thirty (30) days' prior notice. Price changes will not affect the current billing cycle and will apply only upon your next renewal date. Continued use of the Service after a price change takes effect constitutes your acceptance of the new pricing.

5 Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not: (a) use the Service to transmit, store, or process any content that is unlawful, defamatory, harassing, or infringes upon the intellectual property rights of any third party; (b) attempt to gain unauthorized access to any portion of the Service, other accounts, or the underlying systems and networks; or (c) interfere with or disrupt the integrity or performance of the Service or the data contained therein.

You may not reproduce, duplicate, copy, sell, resell, or exploit any portion of the Service without our express written permission. This includes any attempt to scrape, extract, or reverse-engineer the platform's data, algorithms, machine learning models, or proprietary methodologies. Automated access through bots, crawlers, or similar means without prior written authorization is strictly prohibited.

We reserve the right to investigate violations of this Acceptable Use policy and may involve law enforcement authorities in prosecuting users who violate applicable laws. Failure to comply with this section may result in immediate suspension or termination of your account without prior notice.

6 Data Privacy and Security

The privacy and security of your data are fundamental to our operations. Our collection, use, storage, and disclosure of personal and project-related information are governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the data practices described in the Privacy Policy.

We implement industry-standard administrative, physical, and technical safeguards to protect your data against unauthorized access, alteration, disclosure, or destruction. These measures include encryption at rest and in transit, role-based access controls, regular security audits, and intrusion detection systems. However, no method of electronic storage or transmission over the Internet is completely secure, and we cannot guarantee absolute security.

You retain full ownership of all data, documents, designs, and other content that you upload to the Service (“Customer Data”). InfraMinds AI will not access, use, or disclose your Customer Data except as necessary to provide the Service, comply with legal obligations, or as otherwise authorized by you in writing.

7 Intellectual Property

The Service and all associated content, features, and functionality — including but not limited to the InfraMinds AI name, logo, brand identity, software code, AI models, algorithms, user interface designs, documentation, and databases — are the exclusive intellectual property of InfraMinds AI or its licensors and are protected by Indian and international copyright, trademark, patent, trade secret, and other intellectual property laws.

These Terms do not grant you any right, title, or interest in or to the Service beyond the limited, non-exclusive, non-transferable, revocable license to access and use the platform in accordance with your subscription plan. You may not remove, alter, or obscure any proprietary notices displayed on or within the Service.

Any feedback, suggestions, feature requests, or improvement ideas you provide to InfraMinds AI regarding the Service (“Feedback”) shall become the sole property of InfraMinds AI. You hereby assign all rights in such Feedback to us, and we may use, incorporate, and commercialize it without restriction or obligation to you.

8 Limitation of Liability

To the fullest extent permitted by applicable law, InfraMinds AI and its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, revenue, data, business opportunity, or goodwill, arising out of or in connection with your use of or inability to use the Service, whether based on warranty, contract, tort, or any other legal theory.

In no event shall the aggregate liability of InfraMinds AI for all claims arising out of or relating to these Terms or the Service exceed the total amount of subscription fees paid by you to InfraMinds AI during the twelve (12) months immediately preceding the event giving rise to the claim. This limitation applies regardless of whether the alleged liability is based on contract, tort, negligence, strict liability, or any other basis.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law. Nothing in these Terms shall exclude or limit our liability for death or personal injury caused by our negligence, or for fraud or fraudulent misrepresentation.

9 Termination

These Terms shall remain in effect until terminated by either party. You may terminate your account and these Terms at any time by discontinuing use of the Service and cancelling your subscription through your account settings or by providing written notice to support@inframinds.ai. Termination will take effect at the end of your current billing period.

InfraMinds AI may terminate or suspend your access to the Service immediately, without prior notice or liability, if you breach any provision of these Terms, including but not limited to the Acceptable Use policy, payment obligations, or account security requirements. We may also terminate your account if we decide to discontinue the Service, in which case we will provide at least thirty (30) days' notice and a pro-rata refund for any prepaid but unused subscription period.

Upon termination, your right to access the Service will immediately cease. We will retain your Customer Data for a period of thirty (30) days following termination, during which you may request a data export by contacting our support team. After this retention period, your data will be permanently deleted from our active systems, subject to any backup archives maintained in accordance with our data retention policies.

10 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of India, without regard to its conflict of law principles. Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall be subject to the exclusive jurisdiction of the courts situated in Mumbai, Maharashtra.

Before initiating formal legal proceedings, both parties agree to attempt in good faith to resolve any dispute through informal negotiation for a period of at least thirty (30) days. If the dispute cannot be resolved informally, either party may seek relief through the appropriate courts in Mumbai, India, or through mutually agreed-upon arbitration under the Arbitration and Conciliation Act, 1996.

The United Nations Convention on Contracts for the International Sale of Goods shall not apply to these Terms. You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to the Service or these Terms must be filed within one (1) year after such claim or cause of action arose, or it shall be permanently barred.

11 Changes to Terms

InfraMinds AI reserves the right to update or modify these Terms at any time to reflect changes in our business practices, legal requirements, or the evolving nature of our platform. When we make material changes, we will notify you through prominent notice on our website, via email to the address associated with your account, or through an in-app notification at least thirty (30) days before the changes take effect.

The “Last updated” date at the top of this page indicates when these Terms were last revised. Changes that are non-material or required by law may take effect immediately upon posting. Your continued use of the Service after the effective date of any revised Terms constitutes your binding acceptance of those changes.

If you do not agree to the modified Terms, you must discontinue use of the Service and cancel your subscription before the changes take effect. We encourage you to periodically review this page to remain informed about the terms governing your use of the InfraMinds AI platform.
